We are not responsible for monitoring User Content but reserve the right to refuse service and/or remove any content that, in our sole judgment, violates these Terms.

4. Intellectual Property Rights

The matrixium.top name, logo, and all related graphics are trademarks and intellectual property of matrixium.top. You may not use these marks without our prior written permission. Regarding the Tools, you retain ownership of your original User Content that you input. By using a Tool, you grant matrixium.top a non-exclusive, worldwide, royalty-free license to process your User Content solely for the purpose of providing the Service to you. The output generated by the Tools based on your User Content belongs to you, provided you have the necessary rights to the input.

5. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall matrixium.top, its owners, employees, affiliates, agents, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, data, or other intangible losses, that result from the use of, or inability to use, the Service. This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if matrixium.top has been advised of the possibility of such damage.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law. Our total cumulative liability to you for all claims arising from or related to the Service shall not exceed one hundred U.S. dollars (USD $100).

MATRIXIUM.TOP EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

matrixium.top makes no warranty that (i) the Service will meet your requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results obtained from the use of the Service will be accurate, reliable, or complete, or (iv) the quality of any Tools, information, or other material obtained by you through the Service will meet your expectations. Any material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk.

7. Indemnification

You agree to defend, indemnify, and hold harmless matrixium.top, its owners, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, or expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Suffolk County, Massachusetts, for the resolution of any disputes arising out of or relating to these Terms or your use of matrixium.top.
